Partner Terms
Merchant agreement · Version 1 · Last updated: 16 October 2026
DRAFT FOR LEGAL REVIEW. This version is being reviewed by our lawyer and is not yet in force. The open questions for the review are listed at the end of the English text.
The English text is the binding version. The Telugu text below is a summary, not a full translation.
These Partner Terms are an agreement between Sri Moksha Software Developers, a sole proprietorship based in Guntur, Andhra Pradesh, India, registered as an MSME ("Qflow", "we", "us"), and the business or organization that registers to run its queues and bookings on Qflow ("you", the "partner"). The person who registers confirms that they are authorised to accept these terms for the partner. Your customers use Qflow under our Customer Terms; our Privacy Policy and Refund & Cancellation Policy also apply.
1. Who can be a partner
Qflow serves service businesses and organizations that keep people waiting in line or by appointment, including:
- salons, barbers, beauty and wellness services;
- clinics, hospitals, diagnostic centres and pharmacies;
- restaurants and cafés;
- temples and other places of worship;
- banks and financial service branches;
- government offices and public service centres;
- schools, colleges and coaching centres;
- corporate offices (reception, HR and service desks);
- retail stores and service centres;
- events and venues.
We review every registration before it goes live and may ask for documents that show who you are and that you hold any licence your trade requires (for example a clinical establishment registration or an FSSAI licence). We may decline a registration. Some features depend on your type of organization; for example, online payments are not available to banks, government offices, educational institutions or corporate desks.
2. What Qflow provides
A live queue with tokens, walk-ins, priority and missed-turn handling; online bookings; a console for you and your staff on the web and in the app; a TV display board; notifications to your customers; and reports. We may improve or change features; we will not remove a core feature you are paying for during your paid term without telling you first.
3. Free trial and subscription
| Plan | Price | Trial |
|---|---|---|
| Salons, barbers and similar shops | ₹499 per year (introductory ₹299 for the first year) | 60 days free |
| Clinics | ₹2,999 per year | 60 days free |
| Other types of organization | As agreed with Qflow in writing | 60 days free |
- The trial needs no payment. At the end of it, we ask whether you want to continue; we do not charge you without your say-so and do not renew automatically.
- A subscription runs for 12 months from the date of payment. It is not refundable once charged, except as set out in our Refund & Cancellation Policy (a charge in error, a double charge, or a sustained fault on our side).
- If a subscription is not renewed, the console becomes read-only for 30 days and your customers can no longer take tokens or book; after that we may close the account as in section 11.
4. The Qflow platform fee (paid by your customers)
On bookings, Qflow may charge your customer a small platform fee (currently ₹5 to ₹10 per booking, GST included) for online booking and confirmation. By default your customers pay only this fee online, to Qflow, and you collect your full charge at the counter; the console shows what is due ("Pay at counter ₹500"). The fee is Qflow's, is never deducted from your money, and is refunded or kept under our Refund & Cancellation Policy. You may switch online payment off for your bookings. You must not add your own charge for booking through Qflow, and queue tokens and walk-ins are always free.
5. Deposits and prepayment (optional)
- You may ask customers for a deposit (or, for temples, the full seva amount) within the limits Qflow sets for your type of organization. Deposits are off unless you turn them on.
- Deposits are collected by our payment processor, Razorpay, and settled to your bank account through Razorpay Route. You must complete Razorpay's own onboarding and KYC for your payout account first; Razorpay's terms apply to it.
- Each deposit is held until the time of the booking and then released to you, less the payment gateway's charge (2 % plus GST, 2.36 % of the deposit), which you bear.
- You authorise Qflow to instruct Razorpay to refund customers and reverse transfers as our Refund & Cancellation Policy requires, including when you cancel or your account is suspended. A deposit kept as customer credit must be honoured on the customer's next visit.
- You are responsible for invoicing your customers and for the taxes on your own revenue, including deposits.
6. Running your queue fairly and accurately
Your customers rely on what Qflow shows them. You agree to:
- honour tokens and confirmed bookings: serve customers in the order Qflow shows, subject to the priority rules you have set and genuine emergencies;
- keep the queue accurate: call, mark missed and complete tokens as they happen; pause the queue when you stop serving for a while; close it when you close; keep your opening hours, services and prices up to date (see section 9 on closing while customers wait);
- cancel a booking you cannot honour as early as possible, through Qflow, so the customer is told and refunded;
- not discriminate between customers who use Qflow and those who walk in, other than by the order of the queue;
- make sure your staff use their own Qflow accounts and only for your organization, and remove staff who leave;
- display Qflow's QR code and TV board only as we provide them, and not suggest that Qflow provides your service.
7. Your customers' data
To serve a customer you see their name, their token or booking and, for bookings, their phone number. Under the Digital Personal Data Protection Act, 2023 you are responsible, as a data fiduciary, for what you do with that data. You agree to:
- use it only to serve the customer for the token or booking they made with you;
- not use it for marketing, sell it, or share it with anyone else without the customer's own consent;
- keep it secure, limit access to the staff who need it, and not copy it out of Qflow in bulk;
- tell us without delay, and in any case within 24 hours, if you suspect that customer data from Qflow has been lost or misused;
- delete any copies you made when you no longer need them, and when your account closes.
Medical, financial and other sensitive information should not be entered into Qflow's free-text fields.
8. Information and conduct
The information you give us and show to customers (name, address, licences, prices, hours) must be true and kept current. You must not use Qflow for anything unlawful, take tokens or bookings on customers' behalf without their consent, or try to get around Qflow's security or payment flows.
9. Reliability: closing while customers wait
9.1 Why this rule exists. Your customers plan their day around your queue. When you close or stop serving while many of them are waiting, they lose their time and, if they paid online, Qflow must refund them. This section explains how Qflow counts such closes and what happens when they are frequent. It applies from the date Qflow announces it in your console; nothing before that date is counted.
9.2 What is a bad close. A "bad close" is counted against a branch when, on the same day and before the closing time of record (9.4), you or your staff:
- close the queue, or close the branch for the day;
- take a line (for example a doctor) off for the day;
- pause the queue for more than currently 60 minutes in total, counting short resumes during which no one was called; or
- cancel currently 5 or more of that day's tokens or bookings within currently 30 minutes,
while currently 5 or more customers hold an active token in that queue (waiting, called or missed once) or a confirmed booking with that branch later that day. The number of customers is taken at the moment you close, or when the pause starts, and the console shows it to you before you confirm.
9.3 What never counts. None of these is a bad close:
- a close at or after the closing time of record;
- a close with fewer than currently 5 customers waiting or booked;
- a day you set as closed before your queue opened that day;
- Qflow's automatic close after your closing time;
- a suspension or closure by Qflow;
- any period shown as an incident or maintenance on Qflow's status page.
A close caused by your own power or internet failure, or by an emergency, is counted; you may ask Qflow support to remove it (9.8).
9.4 Your hours of record. The closing time that applies on a day is the one in your opening hours when your queue opens that day. If you change your hours before the queue opens, the new hours apply that day. If you change them while the queue is open, your customers see the change at once, but for this section it applies from the next day.
9.5 Refunds. Every bad close, and every close that ends customers' paid tokens or bookings, refunds those customers as set out in our Refund & Cancellation Policy. A bad close is counted whether or not anyone paid online.
9.6 Strikes, warnings and automatic suspension.
- Each bad close is one strike for that branch. Strikes are counted over currently 7 days, in days in India Standard Time; strikes at different branches are not added together.
- We notify you after each strike and show a warning in your console at currently 3 and 4 strikes. Qflow support may call you.
- At currently 5 strikes in 7 days at any branch, Qflow suspends your business automatically under section 10, without further notice: your queues close, your future bookings are cancelled and refunded, and your customers are told.
- We tell you by a notification in the console and app, listing the dates and the number of customers affected, and Qflow support will also message you on WhatsApp.
- The strikes that led to a suspension are not counted again after you are reinstated.
9.7 Reinstatement.
- You may ask for reinstatement from the suspended screen in the console, with a written explanation.
- Qflow reviews every request, normally within one working day. It either reinstates your business or refuses with a reason.
- If your business was suspended under this section in the currently 90 days before, Qflow will speak with you by phone before reinstating it.
- If you are refused, you may ask again after 24 hours, up to three times for one suspension.
- Subscription fees are not refunded for a period of suspension (section 3).
9.8 Disputes and appeal. If you think a strike is wrong, report it from the console ("Report a problem"); Qflow support can remove a strike and records the reason. If you disagree with a strike, a suspension or a refusal to reinstate, you may appeal to our Grievance Officer:

Email: [CONTACT EMAIL] · Phone: +91 93912 48520 (Monday to Saturday, 10:00 to 18:00 IST)
9.9 Changes to the numbers. We may make these limits more lenient at any time, with immediate effect. We give you at least 30 days' notice in the console before we make them stricter (section 13).
10. Suspension
We may suspend your account, after notice where reasonable and immediately where needed to protect customers, if: you break these terms; we receive serious or repeated customer complaints; we see fraud or misuse of customer data or payments; your subscription is unpaid after the read-only period; you reach the reliability limit in section 9 (automatic suspension); or a law, a regulator or Razorpay requires it. While suspended, your queues close, your customers cannot take tokens or book, pending bookings are cancelled and refunded in full under our Refund & Cancellation Policy, and we tell your customers. We restore your account when the reason is resolved, or, for a suspension under section 9, through the reinstatement route in 9.7.
11. Ending the agreement
You may stop using Qflow at any time; the paid term is not refunded. We may end this agreement on 30 days' notice, or at once for a serious breach. When it ends, we close your queues and cancel and refund future bookings, keep records as the law requires (for example tax and payment records), and delete or anonymise the rest as set out in our Privacy Policy. On request before closure, we give you an export of your own business records.
12. Liability
You are responsible for your service, your staff and your premises, and you agree to compensate Qflow for claims by your customers arising from them, or from your misuse of customer data. Qflow is provided as it is; we are not liable for lost profits, lost business or indirect losses. Where the law allows, Qflow's total liability to you in any 12 months is limited to the subscription fees you paid Qflow in those 12 months. These limits do not apply to fraud or to anything that cannot be limited by law.
13. General
These terms are governed by the laws of India, and the courts at Guntur, Andhra Pradesh have jurisdiction. We may update them; for a change that affects your fees or rights, we give you at least 30 days' notice in the console, and you may end the agreement before it applies. Notices to us go to the Grievance Officer below.

Open questions for legal review
- Are subscription prices inclusive of GST, and is Sri Moksha Software Developers GST-registered? Today plans are assigned by hand in the admin console and there is no online subscription payment; how should invoicing and acceptance be recorded until it exists?
- Prices for organizations other than shops and clinics ("as agreed in writing"): acceptable, or must a price list be published?
- Platform fee: is Qflow the supplier of the booking service to the customer (and the GST registrant for the fee), and must partners disclose it at the counter?
- Deposits through Razorpay Route: does Qflow need any RBI authorisation, or is acting through Razorpay's Route (Razorpay as the payment aggregator) sufficient? What should the partner's consent to refund instructions and transfer reversals say?
- Data roles under the DPDP Act: is the partner a separate data fiduciary for its customers' data, or is Qflow processing on the partner's behalf? Is the 24-hour breach-notice duty right, and what does Qflow owe the Data Protection Board?
- Hospitals and clinics: any extra terms needed under the Clinical Establishments Act or medical-records rules if staff type health information into notes?
- Government offices and banks: do they need a separate agreement (procurement, data localisation, RBI outsourcing guidelines) rather than click-through terms?
- Liability cap (subscription fees in 12 months) and the partner's indemnity: enforceable in click-through form against small merchants?
- Read-only period of 30 days after non-renewal and 30 days' notice for termination: are these right?
- Telugu (owner decision, 15 October 2026): a full Telugu translation of the Terms and the Privacy Policy is commissioned for version 1; until it exists, the English text is the binding version and the Telugu text is labelled a summary. Please confirm this is acceptable, and whether consent given in Telugu on the summary is valid.
- "These rules apply from the date Qflow announces them." Is this effective for a clause accepted in v1 before the feature exists, or must the rules be re-accepted when they start?
- Automatic suspension of a business. Is "without further notice" acceptable at the 5th strike, given the warnings at the 3rd and 4th? Does a click-through agreement need anything more for an automatic suspension of a small merchant, such as an explicit right to be heard?
- The call before a second reinstatement. Is a phone call adequate as the hearing? Should its outcome be confirmed in writing (console or email)?
- Grievance timelines. Do the 48-hour acknowledgement and 30-day resolution apply to a reinstatement appeal, or should a shorter time apply because the business is losing income?
- Notice for tightening. Is 7 days in the app enough for customers? Is 30 days in the console right for partners?
- Liability. Does the partner's liability cap or indemnity need a line about refunds Qflow makes to customers after a bad close? Under ADR-004 these are funded from Qflow's fee or from a partner-funded wallet.
2. Qflow

- క్యూను మూసివేయడం, లేదా ఆ రోజుకు శాఖను మూసివేయడం;
- ఒక లైన్ను (ఉదాహరణకు ఒక డాక్టర్) ఆ రోజుకు ఆపేయడం;
- రికార్డులోని మూసే సమయానికి లేదా ఆ తర్వాత మూసివేయడం;
- ప్రస్తుతం 5 కంటే తక్కువ మంది వేచి ఉండగా లేదా బుక్ చేసి ఉండగా మూసివేయడం;
- ఆ రోజు క్యూ తెరవక ముందే సెలవుగా పెట్టిన రోజు;
- మీ మూసే సమయం తర్వాత Qflow ఆటోమేటిక్గా మూసివేయడం;
- Qflow నిలిపివేత లేదా మూసివేత;
